What are the tax implications of share extinguishment for shareholders?

  • Capital Gains Tax – If the extinguishment happens due to a buyback, shareholders pay capital gains tax on the difference between the buyback price and the original purchase price.
  • Merger/Amalgamation – If shares are extinguished due to a merger, tax treatment depends on whether shareholders receive compensation or shares in the new company.
