What happens if a company extinguishes all its shares?

If all shares are extinguished, the company effectively ceases to exist. This can happen in:

  • Liquidation – When a company is dissolved, all shares are extinguished, and assets are distributed.
  • Merger/Acquisition – If Company A merges into Company B, Company A’s shares may be fully extinguished.
